About the role
The role sits within the Legal and Company Secretariat Centre of Expertise which leads the management of the group's legal and governance risk matters.
The role is divided into 3 key areas:
Interpreting and enforcing project level documentation, such as EPC Contracts (with focus on solar and wind), bonds, asset management agreements, equipment supply agreements, land leases, connection agreements, planning consent documentation and all other documentation relating to renewable energy projects.
Working with the Energy Investment team to advise on loan documentation with a particular focus on assisting with refinancing and compliance.
Management of legal disputes, including legal correspondence, instructing legal firms, negotiating and/or preparing settlement documentation.
Working with key third party suppliers (such as wind and solar asset managers) to manage Octopus' energy investments and protect Octopus' energy funds from a commercial and contractual perspective including strategy, risk and mitigation analysis, internal reviews and liaison with all subject matter experts in their various disciplines; and
Stay abreast of legal developments affecting Octopus' energy funds and synthesize the information to incorporate it into the company's transactional best practices
Educate Octopus energy team members as regards legal and risk management issues
Represent the company's interests and interface directly with external counsel with clear and concise instructions and management of appropriate legal fees and costs.
Advise the Energy Investment team on new transactions in renewable energy, including greenfield, brownfield and constructed projects within the UK and Europe.
Preparation of exclusivity agreements, framework agreements, review of project level documentation and advising the Investment team on legal aspects of new energy projects.
Strategize with company executives prior to client negotiations
Structure third party transactions to be most advantageous to Octopus' energy funds from a legal and business perspective
Counsel, advise, and consult Octopus energy investment managers based on the accurate interpretation of contract documents and the facts of a business opportunity
Develop internal guidelines, handbooks, best practice guidelines, toolkits, and packaged knowledge on various legal and business issues
Develop subject matter expertise in areas relevant to the Energy team, including in particular renewable energy in the UK and Europe.
Be responsible for updating, managing and utilizing Gatekeeper - the documentation registry for all contracts across the business.
Governance, Due Diligence & Supplier Risk:
Support business operations to resolve SLA breaches of contract and provide guidance to resolutions.
Monitor performance of external firms and liaise with Legal Centre of Expertise as required.
Experience working on wind and/or solar energy projects (ideally UK and Europe) from a law firm or working in house in a fast-paced corporate legal/transaction group/environment with around 6/7 PQE but will consider candidates with higher or lower PQE if they can demonstrate ability to fulfil the requirements of the role.
Although a Energy/Projects role, assist in providing legal advice across other areas as required by the General Counsel.
